Terms & Conditions
Design
We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We may use static visuals to indicate a look-and-feel direction (colour, texture and typography.) We call that a ‘mood-board.’
You’ll have opportunities to review our work and provide feedback. If, at any stage, you’re not happy with the direction our work is taking and decide to cancel, you’ll pay us in full for everything we’ve produced until that point and cancel this contract.
Photographs
You should supply graphic files in an editable, vector digital format. You should supply photographs in a high resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs for you, we can provide a separate estimate for that. Depending on the level of site you opt for (essential, business, premium) we may provide bespoke photography; the photographs are the property of pulse but are included free of charge whilst the site is hosted with Pulse.
Coding
We deliver websites built on a proprietary platform, your site will be hosted on Google / Amazon servers. Extra coding services are subject to a charge which may be waived at our discretion.
Browser testing
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.
Desktop browser testing
We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Internet Explorer), Mozilla Firefox and Opera.
Mobile browser testing
Testing popular small-screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our work in: iOS: Safari, Google Chrome and Opera Mini, Android 4.1: Google Chrome, Firefox and Opera Mini, Android 3.2: Browser, Firefox and Opera Mini
Changes and revisions
We provide fixed price contracts but know from experience that some customers want the freedom to change their mind. The price at the beginning of this contract is based on the features we say we will include on our website, but we’re happy to be flexible. If you want to change your mind, add anything new or want revisions beyond what we deem reasonable, that won’t be a problem as we’ll make an additional charge for that based on the hourly rate at the time of commissioning plus cost of disbursements eg images, if applicable. It is the clients responsibility to ensure the content and their website in factual, legal, up-to-date and accurate.
Legal stuff
We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions. Phew.
Copyrights
First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you’ve permission to use them.
Then, when your final payment has cleared, copyright will be automatically assigned as follows: You own all elements of text, images and data you provided, unless someone else owns them. We’ll own the unique combination of these elements that constitutes a complete design and we’ll license that you, exclusively and in perpetuity for this project only. We love to show off our work and share what we’ve learned with other people, so we reserve the right to display and link to your project as part of our portfolio and to write about it on websites, in magazine articles and in books. Your website is built on a proprietary platform and as such it is not portable, ie cannot be transferred to a different host.
Payments
We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the following payment schedule.
Full amount including 1st month hosting at start of the project.
In the event of cancellation, Pulse will be compensated for services performed through the date of cancellation in the amount of a prorated portion of the fees due. Upon cancellation, all rights to the website and design revert to the Designer and all original art must be returned, including sketches, comps, or other preliminary materials.
Monthly maintenance fees. Will be paid on a set date each month and by direct debit via GoCardless only. Missed / late payments will incur a late payment fee equal to 50% of the missed payment and could lead to suspension of the site after 28 days, normal service will be resumed once the late and current months fees have been paid. There may be a re-connection fee (£99) were the website has had to be suspended or service has been interrupted by the client.
Contract
You are contracted to paying the monthly maintenance fee (regardless of whether the site is live/online or not) for a minimum of 12 months. After the first 12 months you are free to terminate this arrangement with us, we require 3 months notice in advance and in writing by email.
Maintenance
This includes Domain annual renewal, SSL certificate annual renewal, Technical Support, Hosting, Security, Business Email and Backup relating directly to your website, Third party components may require you to use the providers support service.
Modifications to existing text are included free of charge. Addition of new sections, pages and other content such as images, illustrations Email, SEO and other services will be charged for and full payment for these will be taken in advance of the work commencing. Your website is built on a proprietary platform and as such it is not portable, ie cannot br transferred to a different host. It is the clients responsibility to ensure the content and their website in factual, legal, up-to-date and accurate.
Website Changes
We aim to update our web site regularly, and may change the content at any time. If the need arises, we may suspend access to our web site, or close it indefinitely. Any of the material on our web site may be out of date at any given time, and we are under no obligation to update such material.
But where’s all the horrible small print?
Just like a parking ticket, you can’t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of English courts.
